As of February 2, 2010, Jack Silver beneficially owned 800,000 Ordinary Shares of Asia Entertainment & Resources Ltd. (formally known as CS China Acquisition Corp.) representing 6.0% of the outstanding Ordinary Shares, based on 12,545,224 Ordinary Shares outstanding as reported in the issuer’s Form 20-F dated February 8, 2010. Such Ordinary Shares beneficially owned by Mr. Silver include 800,000 Ordinary Shares issuable upon exercise of warrants held by Sherleigh Associates Inc. Profit Sharing Plan, a trust of which Mr. Silver is the trustee.

Mr. Silver has the sole voting and dispositive power with respect to all 800,000 Ordinary Shares beneficially owned by him.
